201.1 - Delegation of Authority Policy


Chapter I: Description of University Components

1. General Provisions

The University of Arkansas is a land-grant state university offering statewide educational opportunities ranging from certificate programs to post-doctoral study. Its principal campus units, divisions, and administrative units are:

  1. The University of Arkansas, Fayetteville
  2. The University of Arkansas for Medical Sciences
  3. The University of Arkansas at Little Rock
  4. The University of Arkansas at Monticello
  5. The University of Arkansas at Pine Bluff
  6. The Cammack Campus at Little Rock
  7. Division of Agriculture
  8. Arkansas Archeological Survey
  9. System Administration
  10. Criminal Justice Institute
  11. Phillips Community College of the University of Arkansas
  12. University of Arkansas Community College at Hope - Texarkana
  13. University of Arkansas Community College at Batesville
  14. University of Arkansas Community College at Morrilton
  15. Cossatot Community College of the University of Arkansas
  16. The University of Arkansas at Fort Smith
  17. Arkansas School for Mathematics, Sciences, and the Arts
  18. University of Arkansas Clinton School of Public Service
  19. University of Arkansas – Pulaski Technical College
  20. University of Arkansas Community College at Rich Mountain
  21. University of Arkansas Grantham
  22. University of Arkansas East Arkansas Community College

These educational and administrative units collectively constitute the University of Arkansas System under the governance of the Board of Trustees.

Chapter II: Board of Trustees

1. General Provisions

The Board of Trustees has legal control and responsibility for the University of Arkansas. Its structure is defined by the Arkansas Constitution and statutes.

2. Appointment of Members

  • Members are appointed by the Governor and confirmed by the Senate.
  • Members serve ten-year terms.
  • Vacancies are filled by Board confirmation.

3. Officers of the Board

Officers are elected annually and include Chairman, Vice Chairman, Secretary, and Assistant Secretary.

3.1 Chairman

  • Presides over meetings
  • Calls special meetings
  • Appoints committee members

3.2 Vice Chairman

Performs duties of Chairman when necessary.

3.3 Secretary and Assistant Secretary

Perform duties assigned by the Board.

4. Committees

4.1 Academic and Student Affairs

Oversees academic programs, retention, student progress, and campus climate.

4.2 Buildings and Grounds

Reviews facilities, property, construction, and maintenance proposals.

4.3 Audit and Fiscal Responsibility

Ensures financial stability, oversees audits, and monitors internal controls.

Audit Committee Responsibilities

  1. Provide communication between auditors and Board
  2. Review audit plans and financial reports
  3. Assess risks and internal controls
  4. Oversee audit independence
  5. Review audit findings and responses
  6. Escalate issues when necessary

4.4 University Hospital Joint Committee

Reviews accreditation activities.

Select Committees

  • Athletics
  • Agriculture
  • Two-Year Colleges and Technical Schools
  • Distance Education and Technology

5. Meetings

  • At least five meetings annually
  • Special meetings may be called
  • Subject to Arkansas FOIA
  • Quorum requires six members

Chapter III: Administration

1. General Provisions

Administration is centralized under the President.

2. The President

The President is the Chief Executive Officer responsible for managing operations, enforcing policies, and representing the university.

  • Implements Board policies
  • Coordinates campuses
  • Reports annually to Board
  • Serves as liaison to government

3. Internal Audit Department

3.1 Purpose

Provides independent oversight and improves governance and risk management.

3.2 Standards

Adheres to global internal audit standards.

3.3 Authority

Full access to university records and personnel.

3.4 Responsibilities

  • Conduct audits
  • Investigate fraud
  • Provide reports and recommendations

3.5 Independence

Maintains objectivity and reports to Board.

3.6 Ethics

Follows professional ethical standards.

3.7 Quality Assurance

Conducts internal and external reviews every five years.

4. Chancellors

Chancellors manage campus operations, enforce policies, and report to the President.

5. Campus Governance

5.1 Scope

Each campus must maintain governance structures with representation from faculty, staff, students, and administration.

5.2 Authority

Governance bodies recommend policies and academic programs.

5.3 Operations

  • Meetings must be publicized
  • Minutes must be available

5.4 Recommendations

Unresolved issues may escalate to the President or Board.

5.5 Implementation

Governance structures require Board approval.

6. Universitywide Governance

System-wide governance structures may be established.
